General Terms and Conditions

Preamble – Purpose

These general terms and conditions of sale (the “GTC”) govern all sales concluded between NCL, operating the wholesale sales platform “Units Distribution” accessible at https://ncl.units-distribution.com/ (the “Platform”), hereinafter the “Seller”, of the one part, and any professional customer placing an order, hereinafter the “Customer”, of the other part.

In accordance with Article L.441-1 of the French Commercial Code, the GTC constitute the sole basis of the commercial relationship. Any order entails the Customer’s full and unreserved acceptance of these GTC, which prevail over any purchasing terms of the Customer, save for the Seller’s prior written agreement to the contrary.

Article 1 – Seller identification

Article 2 – Definitions

  • Platform: the “Units Distribution” wholesale sales website operated by the Seller.

  • Customer: any business (company, institution or person carrying out an economic activity) registered on the Platform and placing an order.

  • Products: the items offered for sale on the Platform.

  • Order: any request to purchase Products validated by the Customer on the Platform.

Article 3 – Scope

The offer is exclusively reserved for businesses. The Platform is not intended for consumers or private individuals. Consequently, the protective provisions of the French Consumer Code, and in particular the right of withdrawal, do not apply to Orders.

The Customer declares that it acts for purposes falling within the scope of its professional activity and that it has the capacity to contract.

The Seller reserves the right to amend these GTC at any time. The applicable version is the one in force on the date of the Order, available on the Platform.

Article 4 – Customer account and registration

Access to the Platform and the placing of Orders require the prior creation of an account. The Customer undertakes to provide accurate, complete and up-to-date information and to update it where necessary.

Login credentials are strictly personal and confidential; the Customer is solely responsible for their use and for any Order placed through its account. The Customer may at any time view, correct and update its data or request the deletion of its account.

The Seller reserves the right to refuse or suspend a registration, and to make the validation of an account subject to verification of the Customer’s professional status.

Article 5 – Products and availability

Stock levels are displayed in real time on the Platform. Offers are valid within the limits of available stock. The Products displayed do not constitute a firm offer within the meaning of the French Civil Code; the sale is only concluded upon confirmation of the Order by the Seller (Article 7).

Photographs, descriptions and colours of the Products are provided for information purposes only and have no contractual value. The Seller may set sales limits or quotas per reference or per Customer.

Clearance products (“SALE”): Products identified as such may present minor cosmetic defects, lack their original packaging or have damaged packaging. They are neither taken back nor exchanged.

Article 6 – Prices and VAT

Prices are stated in euros, excluding taxes (excl. VAT) and excluding shipping costs. The applicable price is the one in force on the Platform at the time the Order is validated. The Seller reserves the right to change its prices at any time.

VAT regime:

Sales in France: VAT at the applicable rate (20%).

Intra-community deliveries: VAT exemption subject to the provision of a valid intra-community VAT number and compliance with the legal conditions (reverse charge by the Customer).

Exports outside the European Union: exemption subject to customs evidence of the goods leaving the territory of the Union.

An invoice is issued for each Order.

Article 7 – Orders

To place an Order, the Customer: (i) adds Products to the basket, (ii) selects sizes and quantities, then (iii) validates the Order using the dedicated button on the Platform. The Platform is accessible 7 days a week, 24 hours a day.

Minimum order: the Seller does not impose any minimum order amount.

Formation of the contract: the sale is only definitively formed upon confirmation of the Order by the Seller. The Seller may refuse or limit an Order, in particular in the event of unavailability, a prior payment dispute or incorrect customer data.

Modification / cancellation: any request must be sent by email to contact@units-distribution.com. Once the Order has been passed to preparation, it can no longer be modified.

Stock shortage: in the event of unavailability of all or part of the ordered Products, the Seller informs the Customer and may, as the case may be, extend the delivery time or cancel the unavailable part of the Order.

Article 8 – Payment terms

Method of payment: payment is made by bank transfer before shipment (prepayment), to the account indicated on the invoice.

No Order is processed while payments for previous Orders remain due. No discount is granted for early payment.

Late payment: any sum, including any deposit, not paid on its due date shall automatically give rise, without prior notice, to a late-payment penalty equal to three times the applicable legal interest rate (Article L.441-10 of the French Commercial Code), together with a fixed indemnity of €40 for recovery costs (Articles L.441-10 and D.441-5 of the French Commercial Code), without prejudice to additional compensation upon evidence where the costs incurred exceed that amount.

In the event of late payment, the Seller may suspend current Orders, block the Customer’s account and revoke any outstanding balance or payment facility granted, without formality.

Article 9 – Retention of title and transfer of risk

Retention of title: the Products remain the property of the Seller until full payment of their price, in principal and ancillary amounts. Failure to pay on the due date may lead to reclaiming of the Products. This clause does not prevent the transfer of risk.

Transfer of risk: the transfer of risk depends on the delivery conditions agreed for each Order (Article 10): (i) where the Customer arranges collection or provides its own shipping labels (ex-works from the Seller’s warehouse, EXW), risk passes to the Customer as soon as the Products are made available; (ii) where the Seller arranges and bears the transport to the place designated by the Customer, risk passes upon delivery at destination. It is the Customer’s responsibility to take out any relevant insurance from the transfer of risk.

Article 10 – Delivery

Dispatch time: Orders are dispatched within 3 business days from confirmation of the Order and receipt of payment. Times are indicative; a delay may not give rise to cancellation, refusal of the goods, damages or penalties.

Carriers, costs and Incoterm: the carrier is chosen, as the case may be, by the Seller or by the Customer; several carriers may be used. Transport arrangements are agreed for each Order according to one of the following two options: (i) the Seller arranges and bears the transport to the place designated by the Customer and is responsible for it until delivery at destination; or (ii) the Customer provides its own shipping labels and arranges collection, the sale then being concluded ex-works from the Seller’s warehouse (EXW), with transport costs and risks borne by the Customer.

Inspection on receipt: the Customer must check the condition and conformity of the parcel in the presence of the carrier. In the event of damage, shortage or a damaged parcel, the Customer must make precise and complete reservations and draw up a damage report with the carrier. Failing this, no claim relating to transport can be accepted.

Article 11 – Claims and conformity

Any non-conformity, shortage or apparent defect must be reported in writing to contact@units-distribution.com within 72 hours of receipt, together with the relevant supporting evidence (photographs in particular). After this period, the Products are deemed compliant and accepted.

Claims are handled within 30 days of receipt of the claim or, where applicable, of the returned Product. Where a claim is well-founded, the Product is replaced by a compliant Product; failing this, the Seller issues a credit note or a refund. The Customer may also choose to keep the Product and request a price reduction.

No return is accepted without the Seller’s prior agreement. No carriage-forward parcel is accepted. Minor differences (variation in the packaging of the same Product, colour rendering related to the Customer’s screen) do not constitute a defect. Clearance (“SALE”) Products are not taken back.

Article 12 – Warranties and liability

As the sales are concluded between businesses, the parties agree to limit warranties to the framework defined in Article 11. The legal guarantee of conformity provided for by the French Consumer Code does not apply. The legal warranty against hidden defects (Article 1641 of the French Civil Code) remains applicable under the conditions provided for by law.

The Seller’s liability, on any grounds whatsoever, is limited to the amount excluding VAT of the Order concerned. In any event, indirect damages are excluded, in particular loss of operation, margin, turnover, clientele or image.

The Customer uses and resells the Products under its sole responsibility and in compliance with the regulations applicable to its activity.

Article 13 – Intellectual property

The trademarks, logos, visuals, descriptions, databases and all content of the Platform are protected by intellectual property law and remain the property of the Seller or its partners. Their use by the Customer is strictly limited to the resale of the purchased Products. Any other exploitation, reproduction or distribution is subject to the prior written authorisation of the Seller.

Article 14 – Personal data (GDPR)

The Seller, as data controller, collects and processes the Customer’s data for the purposes of account management, Orders, invoicing, delivery and the commercial relationship, in accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act.

The Customer has the rights of access, rectification, erasure, restriction, objection and portability of its data, which it may exercise at contact@units-distribution.com. The detailed terms are set out in the Privacy Policy available on the Platform.

Article 15 – Commercial communications

By creating an account, the Customer may consent to receiving commercial communications by electronic means (information on availability and restocking, cooperation terms, promotional operations). The Customer may unsubscribe at any time from its account settings or via the unsubscribe link included in each message.

Article 16 – Force majeure

The Seller shall not be held liable for the non-performance of its obligations in the event of a force majeure event within the meaning of Article 1218 of the French Civil Code and applicable case law. The affected obligations are suspended for the duration of the event.

Article 17 – Miscellaneous

If any provision of these GTC were held to be void or unenforceable, the other provisions would retain their full force. The Seller’s failure to rely on a provision shall not constitute a waiver of its right to rely on it later.

No provision of these GTC is intended to prejudice the Customer’s rights; in the event of conflict with a mandatory legal provision, the latter prevails.

Article 18 – Governing law and jurisdiction

These GTC and the sales arising from them are governed by French law.

Failing an amicable resolution, any dispute relating to their formation, performance or interpretation falls within the exclusive jurisdiction of the Commercial Court of Bobigny, including in the event of multiple defendants, warranty claims or urgent proceedings (jurisdiction clause agreed between merchants).

These GTC are drawn up in French and English. In the event of discrepancy or difficulty of interpretation, the French version prevails.
